linkgate is a local-first command-line tool that enforces spending policies before payment credentials are created via Stripe Link for Agents. linkgate does NOT process, store, or transmit card credentials, PANs, CVVs, or payment tokens. All wallet operations are handled by Stripe Link.

You may use linkgate free of charge subject to the following limitations:

Free tier usage may be monitored via telemetry to enforce limits. Telemetry includes feature usage counts only — no financial data, merchant names, amounts, or payment details are transmitted.

5. Pro Tier

Pro unlocks unlimited real Link spends, 30-day audit history, export formats, per-agent budgets, and additional features. Pro requires:

8. Acceptable Use

You agree NOT to:

  1. Circumvent, bypass, disable, tamper with, or interfere with any license check, daily counter, telemetry, or technical protection measure.
  2. Use linkgate for any illegal, fraudulent, unauthorized, or deceptive transaction.
  3. Resell, redistribute, sublicense, or share license keys.
  4. Submit false, misleading, defamatory, or abusive feedback through the built-in reporting system.
  5. Attempt to overwhelm, disrupt, or abuse any linked service (Stripe, Resend, etc.).
  6. Use linkgate in any manner that violates applicable law, regulation, or third-party terms (including Stripe's terms of service).
  7. Remove, alter, or obscure any copyright, trademark, or proprietary notice.
  8. Copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the Software.

9. Termination

LinkGate may suspend or terminate your access to linkgate at any time, with or without notice, for violation of these terms or any other reason in our sole discretion. Upon termination, all license keys become invalid and you must cease all use and destroy all copies.

10. Intellectual Property

linkgate and all related intellectual property rights are and shall remain the exclusive property of LinkGate. These Terms do not grant you any license, right, title, or interest in any trademark, service mark, trade name, or domain name owned by LinkGate. You may not use the LinkGate name, logo, or branding without prior written consent.

11. Changes to Terms

We may update these Terms at any time. Continued use after a change constitutes acceptance. The current version is always available at https://linkgate.dev/terms (or in the installed package as TERMS.md). Material changes will be notified via the email address associated with your Pro license, if any, or via the CLI on first run after update.

12. Third-Party Services

linkgate integrates with Stripe Link and may use Resend for feedback delivery. Your use of these services is subject to their respective terms. LinkGate is not responsible for the availability, performance, or actions of any third-party service.

13. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LINKGATE EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

linkgate is NOT a payment processor, financial institution, bank, or money services business. LinkGate is not affiliated with Stripe, Inc. linkgate is an independent tool built on top of Stripe's public "Link for Agents" ecosystem. All wallet operations, credential creation, and payment processing are handled by Stripe, not LinkGate.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LINKGATE OR ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF LINKGATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LINKGATE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE PRECEDING TWELVE (12) MONTHS; OR (b) ONE HUNDRED UNITED STATES DOLLARS (US$100).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless LinkGate and its directors, officers, employees, contractors, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your use of the Software; (b) your breach of these Terms or the EULA; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party right, including without limitation any intellectual property right or privacy right.

16. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, interpretation, breach, termination, or validity, shall be resolved exclusively in the courts of the Province of Ontario, City of Toronto. You irrevocably submit to the exclusive jurisdiction of such courts.

17. Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any provision shall be deemed a waiver of any other provision or of the same provision at any other time.

18. Entire Agreement

These Terms, together with the EULA and any other policies referenced herein, constitute the entire agreement between you and LinkGate regarding the Software and supersede all prior or contemporaneous communications and proposals.
